These Terms of Use (“Terms”) govern your use of edgeshares.com and any tools, data, and content made available on it (together, the “Site”), operated by EdgeShares Advisors LLC (“EdgeShares”, “we”, “us”). By using the Site you agree to these Terms. If you do not agree, please do not use the Site.

1. Informational purposes only — no offer

The Site is provided for general informational and educational purposes. Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security, fund interest, or other financial product, in any jurisdiction. EdgeShares products described on the Site are in development and not currently available for investment. No registration statement relating to these securities has been declared effective by the U.S. Securities and Exchange Commission. Any future offering will be made only by means of a prospectus, and only in jurisdictions where such an offering is lawful.

2. Not investment, legal, or tax advice

Nothing on the Site is investment advice, a recommendation, or a suitability determination for any person. The Leveraged ETF Dashboard, tracking-error heatmap, self-assessment tools, and any other analytics are educational illustrations of how leveraged products behave; they are not a basis for any investment decision. Leveraged and inverse exchange-traded products are complex instruments that carry a high degree of risk, are generally designed for short-term trading rather than long-term investment, and can lose substantially more than an unleveraged investment. You should conduct your own research and consult a qualified financial, legal, or tax professional before making any investment decision.

3. Data and third-party information

Market data, fund statistics, and benchmark figures on the Site are drawn from third-party sources we believe to be reliable but do not independently verify. Figures may be delayed, incomplete, or contain errors, and may differ from figures published by fund issuers. We make no representation as to the accuracy, completeness, or timeliness of any data. Past performance is not indicative of future results.

4. Forward-looking statements

Descriptions of intended product structure, design objectives, and expected characteristics are forward-looking and reflect our current plans. They are subject to change, including in response to regulatory review, market conditions, or business decisions, and there is no guarantee that any objective will be achieved.

5. Intellectual property

The Site and its content — including text, graphics, logos, the dashboard and heatmap tools, data compilations, and the underlying fund architecture, which is the subject of pending patent applications — are owned by EdgeShares or its licensors and are protected by copyright, trademark, patent, and other laws. You may view and print pages for your personal, non-commercial use. Any other reproduction, redistribution, scraping, framing, or commercial use of Site content, including the dashboard and heatmap data, is prohibited without our prior written consent.

6. Acceptable use

You agree not to: use automated means to access or extract data from the Site beyond ordinary search-engine indexing; attempt to interfere with the Site’s operation or security; submit false, abusive, or unlawful content through the contact form; or use the Site in violation of any applicable law.

7. Contact form and communications

Messages sent through the Site are not confidential unless we agree otherwise in writing, and sending a message does not create a client, advisory, or fiduciary relationship. Please do not send material non-public information. Our handling of your information is described in our Privacy Policy.

8. Third-party links and services

The Site may link to or rely on third-party sites and services. We do not control and are not responsible for their content, availability, or privacy practices.

9. Disclaimer of warranties

The Site is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

10. Limitation of liability

To the fullest extent permitted by law, EdgeShares and its members, officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, data, or investment losses, arising out of or relating to your use of or inability to use the Site or any content on it, even if advised of the possibility of such damages. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless EdgeShares from any claims, losses, or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or misuse of the Site.

12. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms or the Site will be brought exclusively in the state or federal courts located in New Jersey, and you consent to their jurisdiction.

13. Changes

We may update these Terms at any time by posting a revised version with a new “Last updated” date. Your continued use of the Site after a change means you accept the revised Terms.
